Think one theory was that Blackpool had bids for Phillips and Tom Ince, both highly valued in January and out of contract at the end of the season, they were happy to sell one and risk the other going on a free, and we'd been told if we didn't cave they'd sell Ince and let Phillips go on a free and we'd get sod all. Have no idea what actually happened but we did look silly when he got transferred.
As I recall there were two issues with the Phillips deal
1) there was an add on clause that we were entitled to an additional fee if he won an England cap. He found a Scottish grandmother and got a Scottish cap instead and we tried to claim the add on but were understandably told that a scottish cap is not the same thing as an english cap.
2) Our sale of the Sell on was bizarre - there was an FA inquiry into it all and they expressed as politely as possible their incredulity that we had done so.
My recollection is that the main issue we cashed in was because of what Blackpool described as a 'career threatening injury' which turned out to be a dislocated (or broken) shoulder bone. This was in the days of Don Woodward and the Oystons.
We all feared any clause would remove the chance of add ons.
I did see somewhere else a fee of £1.8m mentioned.
Maybe the fee was actually higher than the £1m one bloke bandied around and was publicised as gospel, and maybe the actual clause fee wasn't met, hence the chance of bolt ons.
How many free agents have we signed outside of transfer windows in the last few seasons? I can only think of McCleary. And were Forino and Mehmeti technically?
On 2) I think you might be confusing the issue with part of the fees going to pay off Sharkey. Didn't Bristol Rovers try to claim it was 3rd party ownership- which it wasn't - even though the FA/EFL had signed off on the paperwork when the club ownership was changed.

He has no reason to feel any bitterness to us, we treated him well and he walked out for a better deal, and we accepted that.

We've never disclosed individual transfer fees in our accounts - I imagine that's fairly standard practice?
